These terms and conditions of use (“User Agreement”) apply to the Coatue Management, L.L.C. and its affiliates (“Coatue”, “we”, “us” or the “Company”) website, in addition to X, LinkedIn, or any other social media accounts maintained by Coatue (“Social Media” and collectively, together with Coatue’s website, the “Site”). The User Agreement is a contract between users (“You”) and Coatue.

Please read these terms and conditions of use carefully before using the Site. By accessing and continuing to use the Site, you acknowledge that you have read, understood and agree to these terms and conditions of use. If you do not agree to these terms and conditions of use, you may not access or use the Site. Coatue reserves the right, at the Company’s sole discretion, to change, modify, add or remove portions of these terms at any time without prior notice to You. Coatue suggests that you review these terms periodically for changes. By using the Site after the Company has posted changes to these terms and conditions of use, you agree to be bound by these terms as amended.

Nothing contained in these Terms of Use is intended to modify or amend any other written agreement you may have with us (“Other Agreements”), if any, that may currently be in effect. In the event of any inconsistency between this User Agreement and any Other Agreements, the Other Agreements will govern. To the extent this User Agreement conflict with the terms and conditions of use relating to any password-protected area of the Site (“Other Terms of Use”), the more specific Other Terms of Use relating to such password-protected area shall control.

Coatue Grants You a Limited Right to Access or Use the Site

You may not violate or attempt to violate the security or integrity of the Site or obtain access to content or systems where you are not authorized. At any time and for any reason we may revoke your right to access or use all or any portion of the Site.

The Site is Owned by Coatue, its Affiliates and/or Third Parties

The Site and materials contained on the Site are protected by one or more copyrights, patents, database rights, trademarks, service marks and/or other intellectual property and proprietary rights that are owned by Coatue, its affiliates and/or third parties. You may not attempt to or otherwise decompose, decompile, reverse engineer, disassemble or otherwise deconstruct all or any portion of the Site. You may not publish, broadcast, retransmit, reproduce, repackage, frame, commercially exploit, create any derivative of or otherwise redistribute all or any portion of the Site except as explicitly permitted in this User Agreement.

We make reasonable efforts to provide accurate content, but at times we may not promptly update or correct the Site even if we are aware it is inaccurate, outdated, or otherwise inappropriate. The Coatue Fantastic 40 Growth & Innovation Index ("Fantastic 40")

The Fantastic 40 represents a list of companies that Coatue Management LLC (“Coatue”) believes are best positioned for innovation and growth. The Fantastic 40 was created by analyzing 150+ public and private companies across tech, industrials, and energy. Companies were ranked by growth potential (not market cap) and filters were applied for risk. The list was determined at Coatue’s sole discretion and includes elements of subjectivity by nature. The Coatue Fantastic 40 is subject to change at any time as additional information becomes available.

Any use of the term “index” is not meant to indicate that this is a product or fund that anyone is able to invest in currently or that such a product would be offered in the future. Currently, no such product exists and there may never be such a product in the future. Coatue Invests in Publicly Traded Securities

Coatue invests in publicly traded securities. As a result, Coatue does not want to receive material, non-public information about publicly traded companies or their securities, except in rare circumstances in which Coatue restricts its own trading in those securities. Governing Law and Consent to Jurisdiction

These terms and your use of the Site shall be governed by the laws of the United States of America and the State of New York without regard to its conflicts of laws principles. Any legal action or proceeding related to this Site shall be brought exclusively in a federal or state court of competent jurisdiction sitting in New York.

Jurisdictional Issues

Unless otherwise specified, the materials in or accessible through the Site are directed at residents of the United States, its territories, possessions and protectorates. The Site is controlled and operated by Coatue from its offices within the United States. Coatue makes no representation that materials in or accessible through the Site are appropriate or available for use in other locations or that access to them where their content is located is not illegal and prohibited. Liability

COATUE’S LIABILITY WITH RESPECT TO THE SITE IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

OUR LIABILITY IS LIMITED EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF THE DAMAGES YOU SUFFER OR IF ANY REMEDY YOU HAVE FAILS IN ITS ESSENTIAL PURPOSE.

UNDER ALL CIRCUMSTANCES, THE MAXIMUM LIABILITY OF COATUE, ITS AGENTS, AND EMPLOYEES TO ANY USER OF THE SITE WITH RESPECT TO THE SITE IS $100. This limitation of liability applies regardless of any negligence or gross negligence of Coatue or any of its agents or employees. Your sole remedy for dissatisfaction with your use of the Site is to stop using the Site.

Indemnification

As a condition of use of this Site, you agree to indemnify Coatue from and against any and all actions, claims, losses, damages, liabilities and expenses (including reasonable attorneys' fees) arising from your use of this Site, including without limitations any claims alleging facts that if true would constitute a breach by you of this User Agreement.

Coatue is not liable for any technological problems regarding the Site or any impact they may have. All or any portion of the Site may not be available and may not function properly at any time. Additional Terms

If any provision of these terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these terms and shall not affect the validity and enforceability of any remaining provisions. Coatue reserves the right to alter or delete materials from this Site at any time at its discretion.
